Konwencja Narodów Zjednoczonych o prawie morza (UNCLOS) a wyzwania związane z prawem prywatnym w zakresie finansowania projektów morskich

Abstrakt

Artykuł analizuje relację pomiędzy Konwencją Narodów Zjednoczonych o prawie morza (UNCLOS) a prawem zabezpieczeń prywatnoprawnych w finansowaniu projektów offshore, ze szczególnym uwzględnieniem morskiej energetyki wiatrowej w wyłącznej strefie ekonomicznej (EEZ). Ponieważ EEZ przyznaje państwu nadbrzeżnemu jedynie funkcjonalne prawa suwerenne, a nie własność terytorialną, klasyczne lądowe konstrukcje hipoteczne nie mogą być stosowane wobec dna morskiego. Analiza porównawcza Niemiec, Norwegii, Zjednoczonego Królestwa, Niderlandów i Belgii wskazuje na funkcjonalną zbieżność rozwiązań: ochrona wierzycieli opiera się nie na prawach rzeczowych do przestrzeni morskiej, lecz na zabezpieczeniach korporacyjnych i umownych, takich jak zastaw na udziałach, cesja wierzytelności oraz prawa wejścia (step-in rights). Rejestracja morska w przypadku niektórych instalacji pływających ma charakter wyjątkowy. Wobec osłabienia ochrony inwestycyjnej w ramach prawa Unii Europejskiej bankowalność projektów zależy w coraz większym stopniu od stabilności krajowego prawa administracyjnego oraz precyzyjnej alokacji ryzyk w umowach. Wyłania się model funkcjonalnego, opartego na zgodności regulacyjnej prawa prywatnego EEZ, który godzi integralność regulacyjną z mobilizacją kapitału dla transformacji energetycznej.
